This webpage describes our services and your obligations in using iBusinessBook. See our Privacy Policy for information regarding information privacy and protection.
PLEASE READ THESE TERMS CAREFULLY BEFORE USING iBUSINESSBOOK. ANY DISPUTE BETWEEN YOU AND US MUST BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION. PLEASE READ THE ARBITRATION CLAUSE AS IT AFFECTS YOUR RIGHTS.
What are Terms of Service?
These Terms of Service are a binding contract between you the user (the "User") and iBusinessBook, a California Corporation. You must read and agree to these terms before using iBusinessBook. If you do not agree, you may not use iBusinessBook. These terms describe the limited basis on which the services of iBusinessBook are available and supersede prior agreements or arrangements. Users who violate these Terms may have their access and use of iBusinessBook suspended or terminated, at the discretion of iBusinessBook.
What is iBusinessBook?
iBusinessBook is an information and content recipient, a data storage company and an information and data provider. Specifically, iBusinessBook receives and stores information you provide for your future use. You may scan, upload and otherwise store on iBusinessBook your Business Cards, Contacts, Membership Cards, Résumés and other information or content as permitted by iBusinessBook. You may also share your information and content with other people on iBusinessBook.
What are information and content?
Information is in the general sense the characters and numbers that have meaning (i.e., significance or interpretation) that you send to iBusinessBook for storage and retrieval, but also includes data (i.e., the electronic bits of your files including non-characters and non-numbers) from which meaning may inferred. Content in the general sense may include information but also include non-information such as photographs, non-photograph images, artwork, other visual media, software or other media, and in whole or in part.
What types of service does iBusinessBook provide?
iBusinessBook provides data storage, categorization, and retrieval services according to designated service tiers. Some service tiers are free, other service tiers require a paid subscription plan. iBusinessBook services are for your personal and noncommercial or for your commercial service as stipulated by your designated service tier. iBusinessBook is intended for data storage, categorization, and retrieval services only. Use of iBusinessBook is not for dispensing legal, financial, professional, medical or healthcare advice or diagnosis and cannot be used for such purposes. To support smooth operation of iBusinessBook across wide geographic areas, certain services may be subscription only, temporarily delayed or suspended.
iBusinessBook also provides notification services regarding these data storage, categorization, and retrieval services according to designated service tiers. By using iBusinessBook, you agree to receive notification services regarding your data storage, categorization, and retrieval services.
How may iBusinessBook amend or terminate the Terms of Service?
iBusinessBook may amend or terminate the Terms of Service at any time. Amendments will be effective thirty (30) days after posting or of other notice to you. If you do not agree to any change to these terms, you must discontinue using iBusinessBook. Neither our customer service representatives, nor supervisors or other employees are authorized to modify any provision of these terms, either verbally or in writing.
We may immediately terminate this contract and our service with respect to you, including your access to iBusinessBook Services, if you fail to comply with any provision of these terms.
Are there any age restrictions for Users of iBusinessBook?
You must be 13 years of age or older to use iBusinessBook in any manner, and, if under the age of 18 or the age of majority as that is defined in your jurisdiction, you must use iBusinessBook under the supervision of a parent, legal guardian, or other responsible adult.
What does iBusinessBook provide to me?
Once you are registered, iBusinessBook authorizes you to use our software to scan, upload and store information and content to and on our servers. iBusinessBook provides you, the authorized User, permission (i.e., a limited, non-exclusive, non-assignable, non-sublicensable, non-transferable license) to use our software, to scan your documents and to electronically upload the information or other content to our servers for storage and your later retrieval.
What are my personal obligations to iBusinessBook?
You agree to provide and maintain accurate, current and complete information, including your contact information for notices and other communications from us and your payment information for paid subscription services, if applicable. You agree not to impersonate or misrepresent your affiliation with any person or entity, including using another person's username, password or other account information, or another person's name or likeness, or provide false details of an employer, affiliate, or other person. You agree that we may take steps to verify the accuracy of information you provide, including contact information for an employer, affiliate or other person.
You also are responsible for taking reasonable steps to maintain the confidentiality of your username and password, and you are responsible for all activities under your account that you can reasonably control. You agree to promptly notify iBusinessBook of any unauthorized use of your username, password or other account information, or of any other breach of security that you become aware of involving your account or iBusinessBook services.
You are also obligated to fulfill all your other obligations as stated in the Terms of Service for the secure and safe use of iBusinessBook, and to prevent any use of your account that violates the Terms of Service.
What does iBusinessBook provide to me?
Once you are registered, iBusinessBook authorizes you to use our software to scan, upload and store information and content to and on our servers. iBusinessBook provides you, the authorized User, permission (i.e., a limited, non-exclusive, non-assignable, non-sublicensable, non-transferable license) to use our software, to scan your documents and to electronically upload the information or other content to our servers for storage and your later retrieval.
You may not circumvent or disable any content protection system or digital rights management technology used with any iBusinessBook service; decompile, reverse engineer, disassemble or otherwise reduce any iBusinessBook service to a human-readable form; remove identification, copyright or other proprietary notices; or access or use any iBusinessBook service in an unlawful or unauthorized manner or in a manner that suggests an association with our products, services or brands. You may not access or use any iBusinessBook service in violation of United States export control and economic sanctions requirements. By acquiring services, content or software through iBusinessBook, you represent and warrant that your access to and use of the services, content or software will comply with those requirements.
iBusinessBook is our copyright protected property or the copyrighted property of our licensors or licensees. iBusinessBook or our licensors or licensees own all trademarks, service marks, trade names, trade dress and all other intellectual property rights to iBusinessBook. Except as we specifically agree in writing, you may not use or exploit any element of iBusinessBook in any way other than as part of the iBusinessBook services offered to you. You may own the physical media on which elements of the iBusinessBook services are delivered to you, but iBusinessBook retain full and complete ownership of the iBusinessBook services. iBusinessBook does not grant you any other permission (license, title or ownership) to source code, copyright, patent, trademark, or any other use of information, data or content in any other form or format.
How may I access iBusinessBook?
You may access iBusinessBook through any electronic method supported by iBusinessBook, including on computing devices, data-equipped cellular telephones and mobile devices. You are responsible for all fees due for your network access as well as your network or roaming provider's messaging, data and other rates and fees that apply. iBusinessBook is not responsible for format or transmission limitations nor for fees associated with your use of a mobile or other electronic device. iBusinessBook may not work with your network provider or device. You additionally acknowledge and agree to store information related to your use of our software onto your own device, which will occupy some room of the device.
If you access iBusinessBook using an Apple iOS, Android or Microsoft Windows-powered device or Microsoft Xbox One, Apple Inc., Google, Inc. or Microsoft Corporation, respectively, shall be a third-party beneficiary to this contract. However, these third-party beneficiaries are not a party to this contract and are not responsible for the provision or support of iBusinessBook. You agree that your access to iBusinessBook using these devices also shall be subject to the usage terms set forth in the applicable third-party beneficiary's terms of service.
What kind of Information and Content may I use with iBusinessBook?
The information and content you provide to iBusinessBook is protected by the iBusinessBook Privacy Policy. There are three major limitations to the Information and Content you may use with iBusinessBook. Personal accounts may provide to iBusinessBook only Information and Content allowed by the terms of the User's personal account service tier. Commercial accounts may provide to iBusinessBook only Information and Content allowed by the terms of the User's commercial account service tier. In addition, users of commercial accounts are advised to abide by the policies of the Commercial Account holder and that a violation by a user of the policies of the Commercial Account holder may result in termination without notice nor recourse to all Information and Content provided by the user to iBusinessBook.
In addition, all Users are advised and warned that access to these features may be subject to age restrictions. You may not submit or upload Information or Content that is defamatory, harassing, threatening, bigoted, hateful, violent, vulgar, obscene, pornographic, or otherwise offensive or that harms or can reasonably be expected to harm any person or entity, whether or not such material is protected by law. Any violation of these Information and Content limitations may result in termination without notice or recourse to all Information and Content provided by the user to iBusinessBook as well as other civil or criminal penalties as provided by local, State or Federal law.
What may iBusinessBook do with my Information and Content?
The information and content you provide to iBusinessBook is protected by the iBusinessBook Privacy Policy. iBusinessBook will not otherwise access your mobile device, i.e., we will not separately access your contacts or geolocation. Please be aware that many apps, such as a camera, access and embed your geolocation in a file and that your geolocation at the time of creation of the file would be uploaded to iBusinessBook. To provide for your later access to the Information and Content you provide, iBusinessBook will store the information and content on its servers, and later transmit to you the information and content you provided and request. iBusinessBook is not responsible for and does not endorse nor guarantee any opinions, views, advice, recommendations or other consideration provided through Information or Content provided by users.
Who owns the information and content I provide to iBusinessBook?
iBusinessBook does not claim ownership to your Information and Content. By providing the information, however, you grant us a non-exclusive, sublicensable, irrevocable and royalty-free worldwide license under all copyrights, trademarks, patents, trade secrets, privacy and publicity rights and other intellectual property rights to store and reproduce the Information and Content for the purposes of storage, as well as to reproduce the Information and Content for later transmission to you and to someone you with whom share information or content, as well as for displaying of the Information and Content through your electronic device or an electronic device you are using, or for printing, publishing, publicly displaying, or other exhibition, distribution, or redistribution as you control and the electronic device of someone you with whom share information or content.
What is the effect of my use and sharing information and content of iBusinessBook?
By using iBusinessBook, you represent and warrant that your Information and Content conforms to these terms and that you own or have the necessary rights and permissions, without the need for payment to any other person or entity, to use and exploit, and to authorize us to use and exploit, your Information and Content in all manners contemplated by these terms.
You will not use iBusinessBook to solicit illegal acts, or to bully, intimidate, or harass anyone, including non-users of iBusinessBook, or to exploit people in a sexual, violent or other manner, or solicit personal information from anyone under 18.
You will not upload or store information or content regarding illegal acts, including illegal products or services, pyramid schemes, or other products or services that would reflect negatively on the reputation or employees of iBusinessBook.
You agree to indemnify and hold us and our subsidiary and affiliated companies, and each of their respective employees and officers, harmless from any demands, loss, liability, claims or expenses (including attorneys' fees), made against us by any third party arising out of or in connection with our use and exploitation of your Information and Content. You also agree not to enforce any moral rights, ancillary rights or similar rights in or to the Information and Content against us or our licensees, distributors, agents, representatives and other authorized users, and agree to procure the same agreement not to enforce from others who may possess such rights. iBusinessBook has the right but not the obligation to review, monitor, or screen and to modify or remove any Information or Content provided to iBusinessBook. iBusinessBook may perform any of these acts at any time, without advance notice to you, and for any reason, including to ensure that any Information or Content conforms to these terms.
What are the other restrictions on Use of iBusinessBook?
•You may not use iBusinessBook to solicit others (including solicitations for contributions or donations).
•You will not solicit login information or access an account belonging to someone else.
•You may not take any action that imposes an unreasonable or disproportionately large load on iBusinessBook infrastructure or to use any device to navigate or search iBusinessBook other than the tools available on the Site, generally available third party web browsers, or other tools approved by iBusinessBook.
•You agree not to knowingly or recklessly upload or otherwise introduce executable code, scripts, robots, viruses, other malware or other harmful component, or otherwise tamper with, impair or damage any iBusinessBook service or connected network, or interfere with any person or entity's use or enjoyment of any iBusinessBook service.
•You agree not to use any software other than as provided by iBusinessBook to access iBusinessBook services nor to modify the software as provided by iBusinessBook or to modify any other software or any device to access iBusinessBook services or to defeat data protections in place by iBusinessBook or its customers.
•You additionally agree not to access, monitor or copy, or permit another person or entity to access, monitor or copy, any element of iBusinessBook services using a robot, spider, scraper or other automated means or manual process without our express written permission.
What types of security does iBusinessBook use?
The security, integrity and confidentiality of your information and content is extremely important to iBusinessBook. iBusinessBook uses the latest technical, administrative and physical security measures that are designed to protect your Information and Content from unauthorized access, disclosure, use and modification.
What are the iBusinessBook policies with regard to minors?
If you learn that your minor child has provided us with personal information without your consent, please visit the Contact Us webpage and let us know.
The policy of iBusinessBook is to not direct our business to children under 13, but iBusinessBook also strives to preserve customer privacy. Thus, while iBusinessBook will not in general screen information or content, iBusinessBook will remove and segregate any information or content identified by a minor’s parent, guardian or law enforcement as pertaining to a minor. Furthermore, iBusinessBook may seek reparation from the User who uploaded the information or content onto the servers of iBusinessBook for all costs of finding, removing and segregating the information or content pertaining to a minor.
What Third-Party Services and Content may iBusinessBook use?
iBusinessBook services may integrate, be integrated into, or be provided in connection with third-party services and content. We do not control those third-party services and content. You should read the terms of use agreements and privacy policies that apply to such third-party services and content.
What are the subscription plans?
Some iBusinessBook services require paid subscriptions to access. Please visit the Products page for current details. By signing up for a subscription, you agree that your subscription will be automatically renewed and, unless you cancel your subscription, you authorize us to charge your payment method for the renewal term. The period of auto-renewal will be the same as your initial subscription period unless otherwise disclosed to you at the time of sale. The renewal rate will be no more than the rate for the immediately prior subscription period, excluding any promotional and discount pricing, unless we notify you of a rate change prior to your auto-renewal. From time to time, we may offer a free trial subscription for a iBusinessBook service. If you register for a free trial subscription, we will begin to bill your account when the free trial subscription expires, unless you cancel your subscription before that time.
What are the additional Terms Applicable to Employers?
Employers are solely responsible for their information and content on iBusinessBook. iBusinessBook is not to be considered to be an employer with respect to your use of iBusinessBook. iBusinessBook shall not be responsible for any employment decisions, for whatever reason, made with regard to information and content present on iBusinessBook.
You understand and acknowledge that if an employee account or an employer account is terminated, all information and content will be deleted from the servers and backup equipment of iBusinessBook. Information and content may continue to be available for some period of time because of delays in propagating such deletion through iBusinessBook servers and backup equipment.
What is the Cancellation and Refunds Policy?
Free accounts may cancel at anytime.
Paid accounts must provide a 30-day Cancellation Notice.
No refunds or cancellation on business card reloads and promotions.
Promotional and advertisement prices apply to all members.
What happens when I cancel my subscription or fail to pay for my subscription?
We'll retain the information and content you store on our servers for as long as we need it to provide you the Services. If you cancel your account, or we cancel it, we will delete your information and content. But please note: (1) there might be some latency in deleting this information and content from our servers and back-up storage; and (2) we may retain this information if necessary to comply with our legal obligations, resolve disputes, or to enforce our agreements.
What are the Terms of Service regarding Résumés?
Résumés stored on iBusinessBook may not contain inaccurate, false, or misleading information; or information or content or links to material that exploits people in a sexual, violent or other manner, solicit personal information from anyone under 18, solicit illegal acts, or contain information or content regarding illegal acts, including illegal products or services, pyramid schemes, or other products or services that would reflect negatively on the reputation or employees of iBusinessBook.
What are the additional Terms of Service regarding Membership and Financial Cards?
The accounts of membership and financial card information or content (i.e., retails stores, discount outlets, credit cards, debit cards, prepay cards, etc.) stored on iBusinessBook must belong to the account holder. iBusinessBook is not liable for any charges on any membership or financial card information or content stored on iBusinessBook. You agree that you are solely responsible for storing membership and financial card information or content on iBusinessBook and further agree to hold iBusinessBook harmless for any unauthorized use or charges. You also agree to notify iBusinessBook on learning of the loss or theft of any device you own or had in your possession which contained access to your iBusinessBook account so that iBusinessBook may lock access to the membership and financial card information or content in your account. You additionally agree that iBusinessBook may use reasonable methods lock access to the membership and financial card information or content in your account and will not hold iBusinessBook liable for unauthorized use charges incurred before you notified iBusinessBook or in the period between when you notified iBusinessBook and when iBusinessBook locked access to the membership or financial card information or content in your account. You also agree that in no event shall our total liability to you for all damages, losses and causes of action exceed one thousand U.S. Dollars (US $1,000).
What are the additional Terms of Service regarding photographs, images, graphic images, artwork, other visual media, software or other media?
By scanning or uploading photographs, images, graphic images, artwork, other visual media, software or other media to iBusinessBook, you represent and warrant that you own or have the necessary rights and permissions, without the need for payment to any other person or entity, to use and exploit, and to authorize us to receive, store and reproduce per the purpose of iBusinessBook, your Information and Content in all manners contemplated by these terms.
You agree that if iBusinessBook receives a notice, complaint or other objection to information or content placed by you on iBusinessBook, iBusinessBook may remove and segregate without prior notice to you any information or content identified in a notice, complaint or other objection to information of content placed by you on iBusinessBook. While iBusinessBook will take reasonable efforts to advise you of receipt of a notice, complaint or other objection to information or content placed by you on iBusinessBook, you agree to hold iBusinessBook harmless against any consequential, special, indirect, or incidental damages arising out iBusinessBook removing without prior notice to you any information or content identified in a notice, complaint or other objection to information of content placed by you on iBusinessBook.
What happens if iBusinessBook mergers with another company or there is a change in iBusinessBook?
If we are involved in a reorganization, merger, acquisition or sale of our assets, your information may be transferred as part of that deal. We will notify you (for example, via a message to the email address associated with your account) of any such deal and outline your choices in that event.
How do I contact iBusinessBook about infringing material uploaded by someone else to iBusinessBook?
If you are the owner or the lawyer or agent of an owner of material uploaded by someone else onto iBusinessBook servers and wish to find a takedown notice or counter notice, please send prepare a DMCA compliant notice in writing and send it to us at postal address on Contact Us page of the iBusinessBook website, Attention: Legal.
I have an idea. May I send it to iBusinessBook?
iBusinessBook policy does not allow us to accept or consider unsolicited creative ideas, suggestions or materials. In connection with anything you submit to us - whether or not solicited by us - you agree that creative ideas, suggestions or other materials you submit are not being made in confidence or trust and that no confidential or fiduciary relationship is intended or created between you and us in any way, and that you have no expectation of review, compensation or consideration of any type.
What are my options for Dispute Resolution?
This Agreement shall be governed by, construed, and enforced in accordance with California law. Unresolved claims or disputes will be handled first informally as stated below or by binding arbitration in San Joaquin County, California by a single arbitrator selected by iBusinessBook, except disputes relating to the enforcement of the intellectual property rights of iBusinessBook or its affiliates. "Dispute" includes any dispute, action or other controversy between you and us concerning iBusinessBook services or these terms, whether in contract, tort, warranty, statute or regulation, or other legal or equitable basis. You and iBusinessBook empower the arbitrator with the exclusive authority to resolve any dispute relating to the interpretation, applicability or enforceability of these terms or formation of this contract, including the arbitrability of any dispute and any claim that all or any part of these terms are void or voidable.
In the event of a dispute, you or iBusinessBook must send to the other party a notice of dispute, which is a written statement that sets forth the name, address and contact information of the party giving the notice, the facts giving rise to the dispute and the relief requested. You must send any notice of dispute in writing to the postal address on Contact Us page of the iBusinessBook website, Attention: Legal. We will send any notice of dispute to you at the contact information we have for you. You and iBusinessBook will attempt to resolve a dispute through informal negotiation within sixty (60) days from the date the notice of dispute is sent. After sixty (60) days, you or we may commence arbitration. You may also litigate a dispute in small claims court in San Joaquin County California if the dispute meets the requirements to be heard in small claims court, whether or not you negotiated informally first.
If you and iBusinessBook do not resolve a dispute by informal negotiation or in small claims court, the dispute shall be settled by binding arbitration before a neutral arbitrator whose decision will be final. YOU ARE GIVING UP THE RIGHT TO LITIGATE A DISPUTE IN COURT BEFORE A JUDGE OR JURY. Arbitration will be administered by the American Arbitration Association (the "AAA") under its Commercial Arbitration Rules and its Supplementary Procedures for Consumer Related Disputes. For more information, visit www.adr.org or, in the United States, call 800-778-7879. Arbitration may be conducted in person, through the submission of documents, by phone or online. The arbitrator may award damages to you individually as a court could, including declaratory or injunctive relief, but only to the extent required to satisfy your individual claim.
If iBusinessBook prevails, or if the arbitrator finds your claim was frivolous or brought for an improper purpose, you must pay all filing, AAA, and arbitrator's fees and expenses. If the arbitrator issues you an award that is greater than the value of our last written settlement offer made before an arbitrator was selected (or if we did not make a settlement offer before an arbitrator was selected), then we will pay you the amount of the award or US $1,000, whichever is greater, and pay your attorney, if any, the amount of attorneys' fees, and reimburse any expenses (including expert witness fees and costs) that you or your attorney reasonably accrue for investigating, preparing and pursuing your claim in arbitration.
PROCEEDINGS TO RESOLVE OR LITIGATE A DISPUTE IN ANY FORUM WILL BE CONDUCTED ON AN INDIVIDUAL BASIS. Neither you nor iBusinessBook will seek to have a dispute heard as a class action, private attorney general action, or in any other proceeding in which either party acts or proposes to act in a representative capacity. No arbitration or proceeding can be combined with another without the prior written consent of all parties to the arbitration or proceeding. If the class action waiver is found to be illegal or unenforceable as to all or some parts of a dispute, those parts will be severed and proceed in a court of law, with the remaining parts proceeding in arbitration.
What other Terms are in Effect?
This agreement constitutes the entire and only agreement between the parties relating to this agreement. All prior negotiations, representations, agreements and understandings are superseded. No agreements altering or supplementing the terms of this agreement are enforceable except by a written document signed by the party against whom enforcement is sought. The headings of this agreement are solely for convenience, and form no part of the terms and conditions.
All other actions or proceedings arising in connection with this Agreement shall be tried and litigated exclusively in the Courts of San Joaquin County, California. The choice of venue is intended by the parties as mandatory and not permissive in nature, thereby precluding the possibility of litigation between the parties with respect to or arising out of this Agreement in any jurisdiction other than that specified in this paragraph. Each party waives any right it may have to assert the doctrine of forum non conveniens or a similar doctrine or to object to venue with respect to any proceeding brought in accordance with this paragraph, and stipulates that the Courts of San Joaquin County, California have in personam jurisdiction and venue over each of them for the purpose of litigating any dispute, controversy, or proceeding arising out of or related to this Agreement. Each party authorizes and accepts service of process sufficient for personal jurisdiction in any action against it as contemplated by this paragraph by registered or certified mail, return receipt requested, postage prepaid, to its address for service of process. Any final judgment rendered against a party in any action or proceeding shall be conclusive as to the subject of such final judgment and may be enforced in other jurisdictions in any manner provided by law.
Invalidity or unenforceability of one or more provisions of this Agreement shall not affect any other provision of this Agreement. This agreement shall be construed as if such invalid, illegal or unenforceable provisions had never been contained herein, unless the deletion of such provision or provisions would result in such a material change so as to cause completion of the transactions contemplated herein to be unreasonable.
What are the iBusinessBook Disclaimers and Limitation on Liability?
We try to keep iBusinessBook up to date, bug-free, and safe, but you use it at your own risk. We are providing iBusinessBook AS IS without any express or implied warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that iBusinessBook will always be safe, secure or error-free or that iBusinessBook will always function without disruptions, delays or imperfections nor shall we be held liable for delay or failure in performance resulting from causes beyond our reasonable control.
iBusinessBook is not responsible for the actions, content, information, or data of third parties, and you release us, our directors, officers, employees, and agents from any claims and damages, known and unknown, arising out of or in any way connected with any claim you have against any such third parties. If you are a California resident, you waive California civil code §1542, which says: a general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor. We will not be liable to you for any lost profits or other consequential, special, indirect, or incidental damages arising out of or in connection with this statement or iBusinessBook, even if we have been advised of the possibility of such damages. In no event shall our total liability to you for all damages, losses and causes of action exceed one thousand U.S. Dollars (US $1,000). Applicable law may not allow the limitation or exclusion of liability or incidental or consequential damages, so the above limitation or exclusion may not apply to you. In such cases, the liability of iBusinessBook will be limited to the fullest extent permitted by applicable law.
iBusinessBook does not solicit content (whole or portions of data or information), publicly post content, nor screen content. Nor is iBusinessBook responsible for the content of information provided by subscribers.
